Terms & conditions
The terms that apply when you use this website and the client portal, and when you accept a quote or offer from us.
1. Scope
These terms apply to the use of this website and the client portal, and to every contract for services between Italian Cloud – Yusuf Oezeren (“we”, “us”) and our customers (“you”). Our services are offered to businesses within the meaning of § 14 BGB, not to consumers.
Where an offer you accept contains different or additional terms, the offer takes precedence. Your own general terms and conditions apply only if we have agreed to them in writing.
2. Using this website
The content of this website is general information about our services. It is not an offer and not advice for your particular situation, and while we keep it accurate and current, we cannot guarantee that it is complete at all times. Links to external sites are provided for convenience; we are not responsible for their content.
You may not use the site or the portal in a way that impairs their operation or security — for example by automated mass requests, attempts to access areas you are not authorised for, or submitting malicious content through the forms.
3. Client accounts
The client portal is where you see your quote requests and offers, accept offers, and pay them. You are responsible for keeping your sign-in details confidential and for activity under your account. Tell us straight away if you believe someone else has gained access. We may suspend an account that is being misused, and will tell you why.
4. Quotes, offers and contracts
A request through the contact form is an enquiry, not an order, and is free of charge and without obligation for both sides. Quotes and offers we send you are valid for the period stated in them.
A contract is concluded when you accept an offer — in the client portal, in writing or by email — or when we start the work at your request. The offer and these terms then form the whole agreement. Changes to the scope need to be agreed in text form (§ 126b BGB), and email is enough.
5. Our services
The scope of each service — for example managed support, cloud and Microsoft 365, security, backup, or consulting — is defined in the accepted offer. Response times and availability figures apply only where the offer states them as a service level; figures on this website are descriptions of how we typically work, not guarantees.
We may use qualified subcontractors and third-party platforms (for example Microsoft 365) to deliver services. Where a service depends on a third-party platform, that provider's availability and terms also apply, and we will tell you which ones are involved.
6. Your part
Managed IT works best as a partnership. You give us the access, information and contacts we reasonably need, tell us promptly about faults and changes to your environment, and keep licences for third-party software you use valid. Where a delay or extra effort results from missing cooperation, agreed deadlines move accordingly and we may charge the additional time at the rates in the offer.
Unless backup is part of the agreed services, you remain responsible for backing up your data.
7. Prices and payment
The prices in the accepted offer apply. As a small business under § 19 UStG we do not charge VAT, and our invoices show none. Invoices are due within 14 days of receipt without deduction, unless the offer or invoice states otherwise. Accepted offers can also be paid in the client portal by PayPal.
Recurring services are invoiced in advance for each billing period. If payment is significantly overdue, we may suspend services after giving you written notice and a reasonable period to pay.
8. Term and termination
One-off projects end when the work is delivered. For recurring services, the minimum term and notice period are those stated in the offer. Where the offer states none, either side may terminate with one month’s notice to the end of a calendar month. The right to terminate for good cause is unaffected. Notice must be given in text form.
When a service ends, we hand over the documentation, configuration and access credentials for your environment that we hold, and support an orderly transition to you or a new provider. Extensive transition work beyond that handover is charged at the rates in the offer.
9. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, and where we have given a guarantee.
For slight negligence we are liable only for breach of an essential contractual obligation — one whose fulfilment makes proper performance of the contract possible in the first place and on which you may regularly rely — and then only for the foreseeable damage typical of this kind of contract. Otherwise, liability for slight negligence is excluded. These limits also apply to our employees and subcontractors.
10. Data protection
How we handle personal data in connection with this website is described in the privacy policy. Where our services involve processing personal data on your behalf, we conclude a data processing agreement with you under Art. 28 GDPR before that processing starts.
Both sides keep confidential any business information of the other that is marked as confidential or is evidently confidential, during the contract and after it ends.
11. Law and jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes is our place of business; we may also bring proceedings at your general place of jurisdiction.
Should any provision of these terms be invalid, the validity of the remaining provisions is unaffected.
